Terms of Use

Welcome to Centriu. These Terms of Use ("Terms") govern the access to and use of the Centriu OS platform, websites, applications and related services (collectively, the "Services") provided by Centriu Tecnologia Ltda. ("Centriu", "we" or "us") provides.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, do not use our Services.

1. Definitions

• "Platform" or "Centriu OS": The growth and customer experience operating system offered by Centriu;
• "User": Any natural person who accesses or uses the Services, whether as a visitor or account holder;
• "Customer": A legal entity or individual that contracts Centriu's Services;
• "Account": The access record to the Platform, protected by login credentials;
• "User Content": Data, files, information and materials entered by the User on the Platform;
• "Modules": Specific features of the Platform (Agent, Atlas, Axiom, Axis, Care, Core, Echo, Flow, Gauge, Insight, Link, Maestro, Orbit, PCI, Pulse, Run, Sync, Synapse, Vesper, etc.).

2. Acceptance of the Terms

By creating an account, accessing or using the Services, you declare that:

• You have the legal capacity to enter into contracts;
• You have the authority to bind the company you represent (if applicable);
• You have read, understood and agree to these Terms and our Privacy Policy;
• You will provide truthful, accurate and complete information.

4. Permitted Use of the Services

You agree to use the Services only for legitimate purposes and in accordance with these Terms. You must NOT:

• Violate laws, regulations or third-party rights;
• Use the Services for fraudulent or illegal activities;
• Attempt to access unauthorized areas of the Platform;
• Reverse engineer, decompile or disassemble the Services;
• Interfere with or disrupt the integrity or performance of the Services;
• Transmit viruses, malware or malicious code;
• Collect other users' data without authorization;
• Use bots, scrapers or automated tools without authorization;
• Resell, sublicense or redistribute the Services without authorization;
• Use the Services in a way that harms other users.

The processing of personal data is governed by our Privacy Policy, which is an integral part of these Terms.

When you, as a Customer, use the Platform to process personal data of third parties (your customers), you act as the data Controller, and Centriu acts as the Processor, in accordance with the LGPD.

8. Integrations with Third-Party Platforms (Meta, Google, TikTok, LinkedIn)

Several Platform modules offer OAuth integrations with social media and marketing platforms — including but not limited to Meta (Instagram and Facebook), Google (YouTube, Google Ads), TikTok and LinkedIn. By authorizing these connections:

• You declare that you are the legitimate administrator of the connected account/Page/channel, or have formal authorization from the administrator;
• You grant Centriu access only to the data specified in the OAuth scopes approved by each platform's App Review (post metrics, media list, follower count, direct messages, ad accounts, etc.) — details in our Privacy Policy;
• The use of the data is limited to the approved purposes (aggregated analytics, human support center, campaign management) — we do not use it for retargeting, automation of unsolicited broadcasts or training of our own AI;
• You can revoke access at any time in Settings → Integrations of any module, or directly in the settings of the source platform;
• Centriu operates in compliance with the Meta Platform Terms, Meta Developer Policies, Google API Services User Data Policy, TikTok Developer Terms and LinkedIn API Terms of Use.

Replies to direct messages (DMs) through the Centriu Link module respect the platforms' messaging windows (Meta's 24h Customer Service, etc.). The Human Agent tag is used exclusively when a human agent from your team needs to extend the support conversation beyond the standard window.

Paid campaigns created through the Centriu Maestro module are always triggered by a human click of the account administrator. Centriu does not automatically run campaigns without explicit approval from the responsible user.

9. Availability and Support

We strive to keep the Services available 24/7, but we do not guarantee uninterrupted availability. We may carry out scheduled or emergency maintenance.

Technical support is available according to the contracted plan, through the channels indicated on the Platform.

11. Indemnification

You agree to indemnify, defend and hold harmless Centriu, its directors, employees and partners from any claims, losses, damages, costs and expenses (including attorneys' fees) arising from:

• Your use of the Services in violation of these Terms;
• Violation of third-party rights;
• User Content entered by you on the Platform;
• Violation of applicable laws or regulations.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without prior notice, if:

• You violate these Terms;
• There is fraudulent or abusive use of the Services;
• Required by law or court order;
• There is an unresolved default in payment.

After termination, your right of access will cease immediately. Some provisions of these Terms will survive termination.

13. Changes to the Terms

We may update these Terms periodically. Significant changes will be communicated at least 30 days in advance, by email or notice on the Platform.

Continued use of the Services after the changes constitutes acceptance of the new Terms. If you do not agree, you must stop using the Services.

14. General Provisions

• Applicable law: These Terms are governed by the laws of the Federative Republic of Brazil;
• Jurisdiction: The court of the District of São Paulo/SP is elected to settle any disputes;
• Assignment: You may not assign or transfer your rights without our prior consent;
• Entirety: These Terms constitute the entire agreement between the parties on the subject;
• Waiver: Failure to exercise any right does not constitute a waiver;
• Severability: If any provision is held invalid, the remaining provisions will remain in effect.
